TERMS AND CONDITIONS
The Natures Therapeutics Associate Nexus (NATHAN) program is managed by Medicorp New Zealand Limited (MNZL) located at 30 Rathbone Street, Whangarei, 0110, New Zealand. MNZL has full authority to use the Natures Therapeutics Limited™ name, logo, and trademarks in order to effectively manage the program as per the requirements of these terms and conditions.
These terms and conditions set out how Associates will participate in the NATHAN program.
1.1. Associate means, a person or legal entity who has:
1.1.1. applied to participate in the NATHAN program, and
1.1.2. has paid their annual NATHAN membership fee, and
1.1.3. has been approved by MNZL.
1.2. Commission means, an NZD payment to you being 10% (ten percent) of your NATHAN team’s RV (if you have a NATHAN team).
1.3. Company means, MNZL and/or Natures Therapeutics Limited™ (NTL).
1.4. Company branding means, MNZL, NTL & NATHAN logos and associated trademarks.
1.5. Eligible purchase means, a purchase originating from the Associate’s NTL website. The cost of a NATHAN membership fee and/or shipping (if applicable) is not part of the eligible purchase.
1.6. Maximum Retail Value (MRV) means, the usual undiscounted NZD price.
1.7. Nexus means, a single Associate and (if applicable) Associates personally referred.
1.8. NATHAN means, the Natures Therapeutics Associate Nexus program governed by these terms & conditions.
1.9. NATHAN membership fee means, the annual fee payable to obtain Associate status.
1.10. NATHAN team means, an active Associate who was referred by you.
1.11. Nominated email means, the email recorded in your Report Control Centre (RCC).
1.12. NTL means: Natures Therapeutics Limited™.
1.13. Our product means, a product manufactured/created by MNZL and branded Natures Therapeutics Limited™ or NATHAN.
1.14. Promotional activity means, an Associate activity undertaken to inform another person/s, their personal opinion regarding NATHAN and/or our product/s with the intent to motivate them to purchase our product/s.
1.15. Retail Value (RVal) means, the NZD price displayed on the website.
1.16. Retail Volume (RV) means, the NZD amount paid for an eligible purchase.
1.17. Shipping cost means, the cost charged by the MNZL carrier to pick up an order from our facility and deliver to the customer.
1.18. Team Leader is, the Associate that referred the Associate.
2.1. Nothing in these terms and conditions, or any related documents, creates (intended or otherwise) a corporation, company, partnership, joint venture, association, or other legal entity of any kind, or for any purpose, between the MNZL and the Associate.
3. Membership eligibility
3.1. NATHAN memberships are restricted to MNZL approved, resident persons and legal entities of New Zealand and Australia only. MNZL reserves the right to add and or remove countries from this list at any time.
3.2. MNZL reserves the right to reject an application.
4. Membership application
4.1. Applications must be submitted via an official online application link only. This link can be provided by the referring Associate or by contacting MNZL (email@example.com or firstname.lastname@example.org). All applicable boxes within the application must be populated truthfully and accurately. It shall be the responsibility of the applicant to ensure this requirement is met.
NOTE: The Associate giving you the link will, by default, be your team leader. It is not possible to change your team leader.
4.2. Completing this application on behalf of another person is not permitted unless you have the express permission of that person.
4.3. After submitting your online application, MNZL will email, to your nominated email address (as nominated in your application), a secure link for purchase and payment of your NATHAN membership fee.
4.4. Final processing of your application will be undertaken by MNZL after payment of your annual NATHAN membership is received.
5. NATHAN Membership Fee
5.1. Cost is NZ$99.00 (ninety nine New Zealand dollars) per annum. MNZL reserves the right to review and increase this fee at any time. Any increase will not take effect for existing Associates until their next renewal.
5.2. MNZL will email you a secure renewal link with at least 30 (thirty) days lead time of your current membership expiring. You are not under any obligation to renew.
5.3. Purchasing the annual membership, shall be your acknowledgement that, you have read, understand, and agree to be bound by these terms and conditions.
5.4. Cooling off period:
5.4.1. You may cancel your membership within 5 (five) business days of purchase. To do this, you shall, advise MNZL in writing (email email@example.com or firstname.lastname@example.org with “CANCEL” in the subject line.
5.4.2. There is no need to provide a reason. MNZL will process your cancellation request within 2 (two) business days and refund your membership fee minus any NATHAN purchase discount you have received (if applicable). Your refund will be deposited into the card you paid with.
6. Membership Activation
6.1. Your appointment as an Associate, whether expressed or implied, will not be construed as creating a relationship of employer and employee between you and the company.
6.2. MNZL will endeavour to process and approve your application within 24 (twenty four) hours of receiving your membership fee, however, please allow up to 5 working days.
6.3. As soon as your membership is processed and approved, you will receive an email formally advising your membership is active. Included in this email will be your:
6.3.1. personal NTL website link
6.3.2. Report Control Centre (RCC) username
7. Associate Benefits
7.1. Associate benefits will expire at the end of the associated NATHAN membership except if renewed prior or, upon termination by either party under these terms and conditions.
7.2. A personal NTL website.
7.3. 20% (twenty percent) discount off the RVal for all eligible purchases. To receive this discount, your purchase must be made from your personal NTL website.
7.4. (Optional) Authorisation to retail any of our products, to a maximum price equal to the MRV.
7.5. (Optional) Authorisation to refer a new NATHAN Associate/s and build a one-level nexus. The referring Associate, in this instance, shall be known as “team leader” to the referred Associate/s. The referred Associate/s shall be known as “a team member/s to the team leader. To start the referral:
7.5.1. The applicant fills in and submits the online NATHAN membership application form. The link to that form will be provided by the referring Associate.
NOTE: Approval of the NATHAN membership will, by default, place the applicant in the referrer’s nexus.
7.5.2. There shall be no limit to the number of Associates a Team Leader may refer to their nexus.
7.5.3. The team leader shall receive a monthly commission – 10% (ten percent) of the collective RV generated by their team members that month.
22.214.171.124. The commission will be paid in NZ dollars by MNZL to the relevant team leader’s nominated bank account by the 30th (thirtieth) of the following month.
IMPORTANT NOTE: If a team leader nominates a non-New Zealand bank account, the currency conversion and any other bank fee associated with transferring that commission, will be deducted from the commission.
126.96.36.199. You agree that MNZL may withdraw from your released commissions, funds to recover previous commission paid to you for an order, or part thereof, that has been refunded to the customer.
7.6. Personal Report Control Centre (RCC)
7.6.1 The RCC is a secure online portal that holds and displays information specific to the Associate. This shall include (but not limited to), Nexus tree, eligible purchase details, commission details, approved promotional assets etc.
8. Promotional activity
8.1. Misrepresenting the company and/or our products, and/or NATHAN is not permitted.
8.2. Only printed or digital assets purchased or obtained from the company may incorporate company branding.
8.3. Snipped digital images that include company branding are not permitted.
8.4. Photocopied promotional material is not permitted.
8.5. Promotional activities may be undertaken using the listed methods. Any relevant legislative, terms and conditions or other associated restriction/s must be complied with.
8.5.1. face to face
8.5.2. social media
8.5.3. digital communications platform
8.5.4. traditional postal services, or
8.5.5. email, or
9. Indemnification; limitation of liability
9.1. Indemnification. Associate must indemnify, defend and hold harmless MNZL, its subsidiaries and affiliates, and their respective officers, directors, employees, agents, successors and assigns (collectively “Indemnified Parties”) from and against any and all claims, losses, liabilities, demands, actions or other proceedings, damages, penalties, fines, or expenses (including reasonable attorneys’ and consultants’ fees) made or instituted by any third party against any of the Indemnified Parties and arising out of, or relating to, the use, commercialization, exploitation or handling of ordered products after shipping by MNZL.
9.2. Disclaimer. Neither MNZL nor its affiliates will be liable to an Associate for lost revenues, lost profits or other incidental, indirect, special, consequential, or exemplary damages under or arising out of this Agreement, whether or not MNZL has been advised by the Associate of the probability of such damage or loss.
9.3. Application. The limitations of liability set forth in this section and exclusion of certain damages applies regardless of the success or effectiveness of any of the exclusive remedies provided for under this Agreement.
9.4. Compliance with laws. MNZL and Associate each must comply with all applicable laws, statutes, ordinances, codes, regulations, requirements, standards, rules, and orders (collectively, “Laws”), of every governmental authority having jurisdiction over their respective activities under these terms and conditions, including without limitation the manufacturing, handling, transportation, use, sale, export, import, or distribution of the products.
10.1. An Associate may terminate their membership at any time by making such request to MNZL – email request to email@example.com or firstname.lastname@example.org.
10.2. MNZL may terminate a membership at any time for any breach of these terms and conditions. In this instance, MNZL will advise the terminated member via email.
11. Governing law
11.1. These terms and conditions are governed by New Zealand Law and must be interpreted by the laws of New Zealand. This applies to you even if you do not live in New Zealand and this Agreement was signed outside of New Zealand.
