TERMS AND CONDITIONS
The Community Organisation Fundraising Program (COFP) is managed by Medicorp New Zealand Limited (MNZL) located at 30 Rathbone Street, Whangarei, 0110, New Zealand. MNZL has full authority to use the Natures Therapeutics Limited™ name, logo, and trademarks to effectively manage the program as per the requirements of these terms and conditions.
These terms and conditions set out how Fundraisers will participate in COFP.
1.1. COFP means, Community Organisation Fundraising Program.
1.2. Community Organisation means, a New Zealand based and operating organisation that has been approved by MNZL for COFP membership.
1.3. Company means, Medicorp New Zealand Limited (MNZL) and/or Natures Therapeutics Limited™ (NTL).
1.4. Company branding means, MNZL, NTL & COFP logos and associated trademarks.
1.5. Eligible purchase means a purchase originating from the Fundraiser’s Linked Site.
1.6. Fundraiser means, the Community Organisation.
1.7. LFS means, Linked Fundraiser Site - a unique clone of www.naturestherapeutics.co.nz provided to the Fundraiser.
1.8. MNZL means, Medicorp New Zealand Limited.
1.9. Nominated email means, the email recorded in the MNZL system for the Fundraiser. The Fundraiser may change this nominated email at any time.
1.10. NTL means: Natures Therapeutics Limited™.
1.11. Our product means, a product manufactured/created by MNZL and branded Natures Therapeutics.
1.12. Promotional activity means, a Fundraiser’s promotional activity undertaken to inform another person/s, their opinion regarding COFP and/or our product/s with the intent to motivate them to purchase our product/s.
1.13. RV means, the total retail price paid for an eligible purchase minus the shipping cost (if applicable).
1.14. Shipping cost means, the fee paid by the customer to have their order delivered to their shipping address.
2.1. Nothing in these terms and conditions, or any related documents, creates (intended or otherwise) a corporation, company, partnership, joint venture, association, or other legal entity of any kind, or for any purpose, between the MNZL and the Fundraiser.
3. COFP Membership eligibility
3.1. COFP memberships are restricted to New Zealand legal entities that:
3.1.1. are a registered organisation (company, incorporation, trust) etc.
3.1.2. have a constitution/charter/trust deed, or other formal document setting out agreed rules for the management of the organisation.
3.1.3. have a formal purpose that benefits a part or all the community.
3.2. MNZL reserves the right to reject a membership application.
4. COFP Membership application
4.1. Applications must be submitted via an official online application link only. This link shall be provided by MNZL. All applicable boxes within the application must be populated truthfully and accurately. It shall be the responsibility of the applicant to ensure this requirement is met.
4.2. The applicant must be a person with the appropriate authority to make such application on behalf of the Community Organisation.
4.3. MNZL will process new applications within 5 (five) working days.
5. COFP Membership
5.1. COFP membership is free.
5.2. A Community Organisation is limited to 1 (one) COFP membership at any one time.
5.3. An approved membership has no expiry date however, termination may occur as per these terms and conditions.
6. COFP Membership Activation
6.1. Successful applicants will be notified via email to their nominated email address, that their membership has been activated.
6.2. The Fundraiser will have full access to COFP benefits upon activation.
7. COFP Benefits
7.1. All Fundraisers will:
7.1.1. be allocated a free LFS. 25% (twenty five percent) of the RV from every purchase made via their LFS will be deposited into that Fundraiser’s pool. The full cash amount of the Fundraiser’s pool raised during a calendar month will be transferred by MNZL to the Fundraiser’s nominated account by the 30th (thirtieth) of the following month.
IMPORTANT NOTE: In the event a purchaser applies for and receives a refund under the terms of our Refund Policy, MNZL shall deduct the associated amount of fundraising benefit paid to the Fundraiser.
7.1.2. be given free access to an online Fundraising Report Centre (FRC). The FRC provides visibility to the Fundraiser for all purchases made from their Linked Site.
7.2. The Fundraiser shall be 100% (one hundred percent) responsible for the payment of any tax liability generated by the received COFP benefit/s.
8. Promotional activity
8.1. Misrepresenting the company and/or our products, and/or COFP is not permitted.
8.2. Only printed or digital assets purchased or obtained from the company may incorporate company branding. These assets are not permitted to be digitally copied or photocopied.
8.3. Promotional activities may be undertaken using the listed methods. Any relevant legislative, terms and conditions or other associated restriction/s must be complied with:
8.3.1. face to face
8.3.2. social media
8.3.3. digital communications platform
8.3.4. traditional postal services, or
8.3.5. newsletter, or
8.3.6. email, or
9. Indemnification; limitation of liability
9.1. Indemnification. Fundraiser must indemnify, defend and hold harmless MNZL, its subsidiaries and affiliates, and their respective officers, directors, employees, agents, successors and assigns (collectively “Indemnified Parties”) from and against any and all claims, losses, liabilities, demands, actions or other proceedings, damages, penalties, fines, or expenses (including reasonable attorneys’ and consultants’ fees) made or instituted by any third party against any of the Indemnified Parties and arising out of, or relating to, the use, commercialization, exploitation or handling of ordered products after shipping by MNZL.
9.2. Disclaimer. Neither MNZL nor its affiliates will be liable to a Fundraiser for lost revenues, lost profits/commissions or other incidental, indirect, special, consequential, or exemplary damages under or arising out of COFP membership, whether or not MNZL has been advised by the Fundraiser of the probability of such damage or loss.
9.3. Application. The limitations of liability set forth in this section and exclusion of certain damages applies regardless of the success or effectiveness of any of the exclusive remedies provided for under these terms and conditions.
9.4. Compliance with laws. MNZL and Fundraiser each must comply with all applicable laws, statutes, ordinances, codes, regulations, requirements, standards, rules, and orders (collectively, “Laws”), of every governmental authority having jurisdiction over their respective activities under these terms and conditions, including without limitation the manufacturing, handling, transportation, use, sale, export, import, or distribution of the products.
10.1. MNZL or the Fundraiser may terminate a membership at any time by giving notice in writing. Such notice will be given by MNZL to the Fundraiser’s nominated email address. The Fundraiser shall give such notice to firstname.lastname@example.org or email@example.com.
10.2. MNZL may terminate a Fundraiser membership at any time for any breach of these terms and conditions. In this instance, MNZL will advise the terminated member via email.
11. Governing law
11.1. These terms and conditions are governed by New Zealand Law and must be interpreted by the laws of New Zealand. This applies to you even if you do not live in New Zealand and this Agreement was signed outside of New Zealand.
